Terms of Service

1. Acceptance of Terms

By accessing or using imperfeQt's website, platform, and services (collectively, the "Services"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree, do not use the Services.

If you are using the Services on behalf of an organization, you agree to these Terms on behalf of that organization and represent that you have the authority to bind that organization.

For the purposes of these Terms, "we," "our," "us," and "imperfeQt" refer to DAVINCI HORIZON - FZCO, the provider and operator of the Services.

2. Eligibility

You must be at least 16 years old to use the Services. By creating an account, you confirm that you meet this age requirement. If you are under 18, you represent that you have your parent or guardian's consent.

3. Description of Services

imperfeQt is an AI platform that provides access to AI models available through Vercel's AI Gateway for chat, image generation and video generation, including:

• Chat with the language models available through Vercel's AI Gateway, from many providers
• Image generation (Studio) and video generation (Motion) with the models listed in the product
• File uploads, web search, dictation, read-aloud and other features, as each model supports them
• Specialized AI agents (the Qrew) and a website builder, as and when each is launched

4. Account Registration

You must create an account to use the Services. You agree to provide accurate and complete information, maintain the confidentiality of your credentials, and notify us immediately of any unauthorized access. You are responsible for all activity under your account.

Your account is for your personal use only. You may not authorize others to use your account or share your credentials.

5. Usage and Your Wallet

How Usage Is Charged

Each model call (a chat message, an image, a video, a transcription, a read-aloud) is charged to your wallet at the exact amount Vercel's AI Gateway bills for it, as recorded by Vercel, with no markup; each charge is rounded up to the nearest $0.00001. Costs vary by model, input size and the options you choose. A call is charged after it runs, so the last call can take your balance below zero; new calls are refused until it is positive again.

Included Usage

Each subscription plan includes usage every month, in the amount shown on the pricing page. Included usage is used first, does not roll over, and resets at the beginning of each billing period.

Top-Ups

You may add funds to your wallet at any time; your wallet receives the full amount you add. Two fees for moving the money are shown as separate lines and passed on at cost: Vercel's fee on the AI Gateway credit that pays for your usage (3.5%) and the card processing fee. We keep no part of either. Top-up funds do not expire as long as your account remains active. When usage is charged, included usage is used first, then top-ups.

Signup Usage

New accounts receive a small amount of usage at no charge. It has no cash value.

Your Own AI Gateway Key

You may connect your own Vercel AI Gateway API key. While it is connected, your calls run on your key and are billed to you by Vercel under your agreement with Vercel, and your wallet is not charged for them. You are responsible for keeping your key valid and for the charges Vercel makes to it.

Price Changes

Model prices are set by Vercel and the model providers and may change at any time; a call is charged at the price in effect when it runs.

6. Subscription Plans and Payment

The Services are available with a monthly subscription (a seat) or on a balance you hold: the usage given at signup and any top-ups. Without a seat, only Chat is available. Subscription fees are billed in advance on a recurring monthly basis. We may change pricing with 30 days' notice.

By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel. Payments are processed by Stripe. All amounts are in USD.

7. Refund Policy

All purchases are final and non-refundable. Unlike traditional software, every AI generation requires real-time processing that costs money the moment you use it. This policy keeps subscription prices low and ensures the platform remains sustainable.

8. Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, you retain access to all paid features until the end of your current billing period. You will not be charged again after cancellation.

9. Right of Withdrawal (EU Customers)

If you are a consumer in the European Union, you have a 14-day right of withdrawal from digital purchases. However, by subscribing and using imperfeQt, you expressly acknowledge that:

• Digital content delivery begins immediately upon subscription.
• You waive your 14-day withdrawal right once you use any feature (including sending a single chat message).

If you have not used the Service at all within 14 days of purchase, you may request a full refund by contacting hi@imperfeqt.ai. Once you have used any feature, the right of withdrawal no longer applies.

If you are a consumer in the EU, you may also use the EU Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr. We encourage you to contact us directly first.

10. User Content

You may upload, create, and transmit information through the Services ("User Content"), including text, files, images, and documents. You are solely responsible for your User Content and assume all risks associated with it.

By uploading User Content, you grant imperfeQt a worldwide, royalty-free, non-exclusive license to use it solely for the purpose of providing the Services to you. We do not claim ownership of your User Content.

You represent that you have all necessary rights to your User Content and that it does not violate any third-party rights or applicable laws.

11. Intellectual Property

Your Content

You retain ownership of all content you provide. AI-generated outputs created through your use of the Services are yours to use, subject to the terms of the underlying AI model providers.

Our Platform

The imperfeQt platform, including its design, code, branding, AI agent configurations, and proprietary technology, remains the exclusive property of DAVINCI HORIZON - FZCO. Nothing in these Terms authorizes you to use our trademarks, logos, or brand features except as permitted by law.

12. AI-Generated Content Disclaimer

imperfeQt provides access to AI models developed by third parties. You acknowledge and agree that:

• AI-generated content may contain errors, inaccuracies, or outdated information. AI models can produce content that appears factual but is incorrect.
• AI outputs do not constitute professional, legal, medical, financial, or any other specialized advice. Always consult qualified professionals for important decisions.
• You are solely responsible for reviewing, verifying, and validating any AI-generated content before use.
• We make no warranties regarding the accuracy, completeness, reliability, or suitability of AI-generated content for any purpose.
• AI capabilities are provided by third-party model providers. We do not control the training data, algorithms, or outputs of these models.
• AI models and their outputs may change over time. Results may vary between sessions and are not guaranteed to be reproducible.
• AI is a tool, not a person. It does not have emotions, consciousness, or genuine understanding. Do not rely on AI for emotional support, mental health counseling, or crisis intervention.

13. Acceptable Use

You agree not to use the Services to:

• Create content that is illegal, harmful, threatening, abusive, or violates any third-party rights
• Generate deepfakes or deceptive content intended to mislead
• Produce content that exploits minors or facilitates violence
• Reproduce copyrighted material without authorization
• Attempt to reverse-engineer, decompile, or extract the source code of the platform
• Circumvent usage limits, security measures, or access controls
• Use automated systems (bots, scrapers) to access the Services without permission
• Share your account credentials or resell access to the Services
• Access the Services for the purpose of building a competitive product
• Upload malware, viruses, or any harmful code

14. Privacy

Your use of the Services is subject to our Privacy Policy. We do not train AI models on your data. Your conversations and files are stored securely and are not shared with third parties except as required to provide the Services (e.g., sending your message to the selected AI provider).

15. Third-Party Content and Models

The Services incorporate third-party AI models and may allow you to access third-party content. Model calls are made through Vercel's AI Gateway to the provider of the model you select, or to the fixed provider of a feature (conversation titles, dictation and read-aloud to OpenAI; web search to Perplexity in Chat and to Exa in the Qrew; the Qrew's agents to the model you pick, its pictures to Recraft and its clips to Google unless you choose other models in Settings). You acknowledge that imperfeQt is not responsible for the availability or accuracy of such third-party content, has no liability for harm arising from your use of third-party content, and does not guarantee the continued availability of any specific AI model or provider.

16. Service Availability

The Services are provided "as is" and "as available" without warranties of any kind. We do not guarantee uninterrupted, error-free, or secure access. We may modify, suspend, or discontinue any feature at any time without liability. The form and nature of the Services may change from time to time without prior notice.

17. Limitation of Liability

To the maximum extent permitted by law, imperfeQt, its subsidiaries, affiliates, officers, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, including loss of profit, goodwill, data, or other intangible losses.

In no event shall our total liability exceed the amount you have paid for the Services in the past twelve months, or one hundred dollars ($100.00), whichever is greater.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation may not apply to you.

18. Indemnification

You agree to indemnify and hold imperfeQt, DAVINCI HORIZON - FZCO, and its officers, agents, and partners harmless from any claims, damages, losses, or expenses arising from your use of the Services, your User Content, your violation of these Terms, or your infringement of any third-party rights.

19. Feedback

If you submit comments, ideas, or suggestions about the Services, you agree that your disclosure is gratuitous, unsolicited, and without restriction. We are free to use such feedback without compensation to you, and your feedback will not place imperfeQt under any fiduciary or other obligation.

20. Termination

We may terminate or suspend your account immediately for any breach of these Terms, without prior notice. You may delete your account at any time in Settings. Cancelling a seat does not close your account; Chat stays open on any balance you hold.

Deletion is immediate: your seat ends that day with no refund for the rest of the period, and your conversations, files and wallet balance, including top-ups, are deleted. If we terminate your account for breach, your access ends immediately.

All provisions of these Terms which by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnification, and limitations of liability.

21. Complaints and Disputes

If you have a concern, contact us at hi@imperfeqt.ai with a clear description of the issue. We aim to acknowledge all complaints within 2 business days and provide a resolution within 5 business days.

If you believe a charge was made in error, contact us before initiating a chargeback with your bank. Chargebacks initiated without prior contact may result in account suspension pending review.

22. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via email or in-app notification at least 14 days before they take effect. Continued use of the Services after changes constitutes acceptance of the updated Terms.

23. Governing Law

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates and the Emirate of Dubai. Any disputes shall be resolved in the courts of Dubai, without prejudice to mandatory consumer protection laws that may apply in your country of residence.

24. Copyright Policy

We respect intellectual property rights and expect our users to do the same. If you believe that content on the Services infringes your copyright, please send a notice to hi@imperfeqt.ai including: a description of the copyrighted work, the location of the infringing material, your contact information, a statement of good faith belief that the use is unauthorized, and a statement under penalty of perjury that your notice is accurate. We may remove infringing content and terminate accounts of repeat infringers.

25. Beta Services

We may release features labeled "alpha," "beta," "preview," or "early access" ("Beta Services"). Beta Services are provided "as is" without warranty, may contain bugs, and may be discontinued at any time. By using Beta Services, you agree that we may contact you to collect feedback.

26. Force Majeure

Neither party shall be liable for failure to perform under these Terms to the extent caused by conditions beyond reasonable control, including natural disasters, acts of war or terrorism, pandemics, government actions, disruption of internet services, or failure of third-party AI providers.

27. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.
